The terms that govern your use of our services.

1. Agreement to Terms

By accessing or using the OpenClawCentral website (openclawcentral.ai) or subscribing to the Wisdom Agent service, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our services.

"OpenClawCentral," "we," "us," and "our" refer to OpenClawCentral and its affiliates. "You" and "your" refer to the individual or entity subscribing to or using our services.

2. The Service

OpenClawCentral provides the Wisdom Agent — an AI conscience layer that installs as an agent within the OpenClaw platform. The Wisdom Agent monitors AI agent behavior, detects behavioral drift, prevents hallucination, and provides conscience-level evaluation of AI decision-making.

The service includes agent files installed on your local machine, cloud-based license validation, and server-side analysis components as described on our website.

3. Subscription & Pricing

The Wisdom Agent is offered as a monthly subscription service.

  • • Beta Pricing: $39.95 per month. Beta subscribers who maintain continuous subscription are grandfathered at this rate indefinitely, even after prices increase post-beta.
  • • Billing Cycle: Subscriptions are billed monthly on the anniversary of your signup date.
  • • Payment: All payments are processed through Stripe. You agree to provide accurate and complete billing information.
  • • Price Changes: We reserve the right to change pricing for future subscribers. Existing subscribers at a given rate will not be affected by price increases as long as their subscription remains active.

4. Cancellation & Refunds

You may cancel your subscription at any time. Upon cancellation:

  • • Your access continues through the end of your current billing period.
  • • No refunds are provided for partial months. If you cancel mid-cycle, you retain access until the cycle ends but will not receive a prorated refund.
  • • After your subscription ends, the Wisdom Agent will pause its monitoring functions. Your other OpenClaw agents will continue to operate normally.
  • • If you resubscribe after cancellation, grandfathered pricing is not guaranteed. You may be subject to the current rate at the time of resubscription.

5. License & Cloud Validation

Your subscription grants you a limited, non-exclusive, non-transferable license to use the Wisdom Agent on a single OpenClaw installation.

  • • The Wisdom Agent periodically contacts our license server ("phones home") to validate your subscription status. This is required for the service to function.
  • • If license validation fails (e.g., expired subscription, network issues), the Wisdom Agent will pause gracefully. Your other OpenClaw agents are not affected.
  • • You may not attempt to circumvent, disable, or interfere with the license validation mechanism.
  • • You may not reverse-engineer, decompile, or attempt to extract the server-side analysis algorithms.

6. Intellectual Property

The Wisdom Agent, its analysis algorithms, detection heuristics, scoring systems, and all associated intellectual property are owned by OpenClawCentral and protected as trade secrets. The agent files provided to you are licensed, not sold.

What you own: Your detection logs, your pattern data, your audit trail, and any data generated by the Wisdom Agent on your machine.

What we own: The core analysis engine, scoring algorithms, detection heuristics, and all server-side components.

7. Acceptable Use

You agree not to:

  • ✕ Share, redistribute, or sublicense the Wisdom Agent files to third parties.
  • ✕ Use the service to develop competing products or services.
  • ✕ Attempt to reverse-engineer, decompile, or extract server-side algorithms.
  • ✕ Interfere with or circumvent the license validation system.
  • ✕ Use the service for any unlawful purpose.

8. Service Availability

The Wisdom Agent service is provided on an "as-is" and "as-available" basis. While we strive for high uptime and reliability, we do not guarantee uninterrupted or error-free operation of the service, including the license validation server and server-side analysis components.

We may perform maintenance, updates, or modifications to the service from time to time. We will make reasonable efforts to provide advance notice of planned downtime.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

  • • OpenClawCentral shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service.
  • • Our total liability for any claims arising from or related to the service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
  • • We are not responsible for decisions made by your AI agents, whether or not the Wisdom Agent was monitoring them at the time.
  • • The Wisdom Agent is a monitoring and advisory tool. It does not guarantee the prevention of all AI behavioral drift, hallucination, or errors.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, OR BE ERROR-FREE.

11. Indemnification

You agree to indemnify and hold harmless OpenClawCentral, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the service or violation of these Terms.

12. Termination

We may suspend or terminate your access to the service if you violate these Terms, including but not limited to: attempting to circumvent license validation, redistributing agent files, or using the service for unlawful purposes. In the event of termination for cause, no refund will be provided.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Hawaii, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of the State of Hawaii.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify active subscribers of material changes via email at least 30 days before they take effect. Your continued use of the service after changes become effective constitutes acceptance of the revised Terms.
